Your use of our Digital Photos you indicates your acceptance of this license agreement and warranty below.
DIGITAL PHOTO LICENSE AGREEMENT The Sentimental Plus Co., Ltd. (“SentPlus”), the owner and operator of the Handicraftmall.com website (the “Website”) offers a number of Digital Photographs files which the SentPlus allows you to use in accordance with the terms of this Agreement. By downloading or reproducing in any form the Digital Photos (as defined below) from SentPlus’s Compact Disk or electronic mail or the Website you agree to be bound by the terms of this Agreement.
If you are entering into this Agreement on behalf of your employer, the license granted and restrictions and limitations recited herein apply to your employer as well as to you as a representative of your employer. Should you cease working for your employer, your employer may continue to operate under this Agreement.
Grant of license
SentPlus grants to you, and your employer if you are licensing on behalf of your employer (hereinafter, collectively referred to as "You"), a non-exclusive, non-sublicensable right to use any photos from the Website or electronic files provided by SentPlus.
The Digital Photos may be used as sale support materials by you as a part of:
(i) online or other electronic distributions systems (including web page design) and broadcasts or trade exhibitions;
(ii) any products (including for-sale products) or publications (electronic or print); or
(iii) materials for personal use.
No other rights are granted except as specifically provided in this Agreement.
No Digital Photos or copies of them may be sub-licensed, resold or otherwise made available for use to promote SentPlus’s competitor products.
No Digital Photos or copies of them may be retouched, altered, or modified EXIF Metadata
You may not remove watermarks of trademark or logo on the Digital Photos.
You may use the Digital Photos for free to support reselling of individual SentPlus’s products
Warranties
SentPlus makes no warranty, express or implied, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose. Neither SentPlus nor its licensors shall be liable to You or any other person or entity for any general, special, direct, indirect, consequential, incidental or any other damages arising out of this license or otherwise. SentPlus may discontinue this free service at anytime. Copyright and other Intellectual Property Rights
All rights to the Digital Photos are owned by SentPlus and/or its licensors and are protected by Thailand copyright laws, and international treaty provisions as well as other applicable laws. SentPlus and its licensors retain all rights not expressly granted by this agreement. The Digital Photos are licensed only to You. The copyright and all intellectual property rights in and to the Digital Photos are owned by SentPlus and/or its licensors. You agree not to assert any intellectual property rights against SentPlus and/or its licensors now or in the future. SentPlus reserves the right to make any changes to the Digital Photos, its contents and its license agreement at any time without prior notice.
Termination
The license contained in this Agreement will terminate automatically without notice from SentPlus if You fail to comply with any provision of this Agreement. Upon termination, You must immediately:
(i) stop using the Digital Photos; and
(ii) delete any Digital Photos and all copies of all of them from all digital media and destroy all other copies or, upon request of SentPlus, return all copies of the Digital Photos to SentPlus.
Use of the Digital Photos
Use of the Digital Photos must be in compliance with all applicable laws. SentPlus reserves the rights to discontinue the license for use of any Digital Photos for any reason, to remove any Digital Photos from the Website or to replace the Digital Photos with alternate Digital Photos. For the Digital Photos which are only licensed to the SentPlus, this license in relation to a particular Digital Photo will terminate as soon as SentPlus's license to use that particular Digital Photo is terminated. Upon notice of any discontinuance of license for any particular Digital Photo, You agree not to reproduce such Digital Photo in any form in the future.
Indemnification
You agree to indemnify and hold harmless SentPlus against any loss, damages, fines and expenses (including attorneys' fees and costs) arising out of or relating to any claims based on your act or omission or alleged act or omission that constitutes a violation of this License.
Governing Laws
This Agreement and the right and liabilities of the parties hereto shall be governed by the laws of Thailand
